{ Terms of Service. }

1. Introduction and Eligibility

Rithm Inc., a Delaware corporation (the “Rithm,” “we,” or “us”) provides in-person educational courses in software development in San Francisco, California (the “Courses”). This Website (the “Site”) provides information regarding our Courses and allows visitors to submit applications to those Courses. PLEASE READ THE FOLLOWING TERMS OF USE (THESE “TERMS”) CAREFULLY BEFORE USING THIS THE SITE. By using the Site, you are agreeing to be bound by these Terms.

You agree that you are at least 18 years old and legally able to enter into a contract.

2. Changes to these Terms

It is your responsibility to review these Terms periodically. We may revise these Terms at any time by posting an updated version. You can see the date that these Terms were last updated at the top of this page. You should visit this page periodically to review the most current Terms. Your continued use of the Site after any changes to these Terms are posted will constitute your binding acceptance of these Terms, including any changes. Any changes to these Terms after your last use of the Site will not apply to you.

3. Notice Regarding Educational Accreditation

Rithm does not offer bachelors, associates, masters, doctoral or other recognized degrees. We do not currently no plan to offer any of these degrees, and you should not purchase any Course hoping or intending that its contents may contribute to you receiving any recognized educational credential. We are currently subject to regulation in California. We are licensed to operate by the California Bureau of Private Postsecondary Education.

4. Disclaimer of Warranties and Notice Regarding Outcomes

EXCEPT AS OTHERWISE SPECIFICALLY PROVIDED IN THESE TERMS, THE SITE AND THE COURSES OFFERED ON THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, RITHM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. RITHM DOES NOT REPRESENT OR WARRANT THAT THE FUNCTIONS CONTAINED ON THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT THE DEFECTS WILL BE CORRECTED OR THAT THE SITE OR THE SERVER THAT MAKES THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. APPLICABLE LAW MAY NOT ALLOW LIMITATIONS OR EXCLUSIONS ON WARRANTIES SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Rithm may publicize and promote the outcomes of certain participants in its Courses. We do not, however, guarantee any outcome, including receiving employment or a particular salary. Wherever Rithm publicizes outcomes, we will endeavor to provide specific guidance on the source of the data presented. Outcomes are highly variable and a function of market conditions beyond our control.

5. Refunds for our In-Person Program (Separate Ways Clause)

Rithm Inc. offers a full refund of tuition minus the nonrefundable deposit in the first four weeks. This is known as the “Seperate Ways Clause” and is offered to all admitted students. If they are past four weeks, their tuition will be refunded on a pro-rated basis. If a student has registered and enrolled in a cohort and needs to cancel, they have the right to cancel the enrollment agreement and obtain a refund of charges paid through attendance at the first class session, or the seventh day after enrollment, whichever is later, to receive a full refund or credit minus the $250 non-refundable deposit. (Authority Cited: CEC94929(b)(5), CCR71750(c)(3). That deposit can be applied towards future classes if they choose to attend another class.

6. Use of the Site

We grant you a limited license to access and use the Site for your personal use, and to copy, distribute and transmit the content of this Site only to the extent that such copying, distribution and transmission is automatically done through your browser software incidentally to using the Site for your personal use. This license excludes the following uses: any resale or commercial use of this Site or its contents; any collection and use of any product listings or descriptions; any derivative use of this Site or its contents; or any use of data mining, robots or data gathering and extraction tools.

Except as permitted above, this Site or any portion of this Site or any Rithm website or site may not be reproduced, duplicated, copied, sold, resold, visited or otherwise exploited for any commercial purpose without our express written consent. Any unauthorized use terminates the permission or license granted by Rithm.

We reserve the right to change any information, features and functions of the Site without prior notice. We may refuse service or deny access to any or all parts of this Site to anyone for any reason. Use of the Site for any illegal or unauthorized purpose is strictly prohibited.

You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Courses or the Site or with any other person’s use of the Courses or the Site. You may not manipulate identifiers in order to disguise the origin of any message you send through the Site. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity. You may not use the Site for any purpose that is unlawful or prohibited by these Terms.

7. Personal Information

You may be able to apply to Courses through the Site. When applying to Courses, you will be asked to provide us with personally identifiable information. Our collection of this personal information is subject to our Privacy Policy, which is incorporated into these Terms by reference and can be accessed by clicking this link. In addition, our Site may automatically gather personal information about your use of the Site through the use of cookies, web beacons and similar technology. This collection of personal information is also subject to our Privacy Policy. Like these Terms, our Privacy Policy is subject to change, so we encourage you to review it frequently.

8. Electronic Notices

By using or accessing the Site and providing us with your email address, you agree that we may communicate with you electronically regarding security, privacy, and administrative issues relating to the Rithm Service. If we learn of a security breach relating to your personal information that we are required to report to you under applicable laws, we may attempt to notify you electronically by posting a notice on our website or by emailing you. You may be entitled to receive this notice in writing. To receive free written notice of a security breach (or to withdraw your consent from receiving electronic notice), please write to us at info@rithmschool.com.

9. Limitation of Liability

RITHM WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SITE, EVEN IF RITHM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend and hold harmless Rithm, its officers, directors, employees, agents, licensors and suppliers from and against all losses, liabilities, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms, or any activity related to use of the Site (including negligent or wrongful conduct) by you or any other person accessing the Site using your Internet account.

11. Trademarks

All trademarks, service marks and trade names of Rithm on the Site are trademarks or registered trademarks of Rithm. You may not use any meta tags or any other “hidden text” utilizing Rithm’s name or trademarks without our express written consent.

12. Third-Party Links and Sites

This Site may link to other websites operated by third parties, each of which have separate privacy and data collection practices independent of Rithm. You access these sites entirely at your own risk. We are not responsible for the availability, contents, products, services or use of any third party site, any website accessed from a third party site, any changes or updates to those sites or any consequences of you accessing those sites.

13. Submissions

We welcome your feedback and comments regarding our products and services. However, we ask that you do not submit any creative ideas or suggestions to us. If you send us creative ideas or suggestions despite our request that you do not (an “unsolicited submission”), you acknowledge and agree that we may treat the unsolicited submission as non-confidential and non-proprietary and that you will receive no compensation for our use of the unsolicited submission.

14. Miscellaneous

Until you purchase a Course, these Terms constitute the entire agreement between you and Rithm concerning your use of the Site. If you purchase or use any Course, your participation in that Course will also be subject to a separate agreement; any conflicts between these Terms and that separate agreement will be governed by the separate agreement.

Your use of the Site will be governed in all respects by the laws of the state of California, U.S.A., without regard to its conflict of laws principles.
